N Chandrasekaran has stepped down as chairman of Tata Sons and said he will not seek reappointment when his current term ends in February 2027.
His resignation comes ahead of the company’s annual general meeting on August 18. Chandrasekaran has asked the board to begin the succession process soon to ensure a smooth transition.
In a statement, Chandrasekaran said he had completed 40 years of professional life with the Tata Group and described leading Tata Sons over the past decade as a great honour and responsibility.
His decision follows differences over his proposed reappointment. The Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously recommended extending his tenure for another five years after February 2027. The Tata Sons Nomination and Remuneration Committee and board also backed the proposal.
However, the proposal failed to secure unanimous support when the Tata Sons board considered it on February 24, 2026. Chandrasekaran said one board member did not support the extension, prompting him to defer the decision and ultimately step down.
His resignation has also exposed tensions between Tata Sons and Tata Trusts over board representation, group strategy and the proposed exit of minority shareholder Shapoorji Pallonji.
Following the announcement, shares of several Tata Group companies fell in early trading. At 11:30am, Tata Power declined 1.26%, Tata Consultancy Services (TCS) fell 3.9% and Tata Steel dropped 1.83%.
Tata Sons oversees major businesses including TCS, Tata Motors and Air India. During Chandrasekaran’s tenure, the group faced several major challenges, including the Air India crash, pricing pressure at TCS and a cyberattack at Jaguar Land Rover.
Chandrasekaran joined the Tata Group in 1987 and became TCS chief executive in 2009. He took charge as chairman of Tata Sons in 2017.
